Terms of Service
1. Who we are
These Terms of Service ("Terms") govern your use of the websites and services operated by YBA Edge, a brand owned and operated by YBA Systems ("YBA Edge", "we", "us", "our"), a sole-proprietor business based in South Africa. The services covered by these Terms include:
- The agency website and marketing surface at
https://ybaedge.com(the "Agency Site"). - The link-in-bio surface at
https://links.ybaedge.com. - The self-hosted social posting platform branded as YBA Edge Social at
https://socialdrip.ybaedge.com(the "Platform"), which is a YBA Edge–rebranded deployment of the open-source Postiz application. - Any related agency services we provide — clip production, scheduling, account management, reporting (collectively the "Services").
By accessing the Agency Site, the Platform, or by signing an engagement letter or paid order with YBA Edge, you ("you", "Client") agree to these Terms. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a contract under the laws of your jurisdiction. The Platform and Services are not intended for minors.
If you are using the Services on behalf of a company, agency, or organisation, you represent that you have the authority to bind that entity to these Terms.
3. The Services
3.1 Agency engagement
YBA Edge offers done-for-you short-form social media operations across YouTube Shorts, TikTok, Instagram Reels, Facebook Reels, and Snapchat for clients running one or more brands. Specific deliverables, pricing, and term length for each engagement are set out in your individual order or engagement letter.
3.2 The Platform (YBA Edge Social)
YBA Edge Social is the scheduling and OAuth-management infrastructure used to operate client accounts. Access to the Platform is granted only to onboarded paying Clients of the agency Services or, where applicable, to invited operators authorised by YBA Edge. YBA Edge Social is not a publicly self-serve SaaS; account creation is gated.
3.3 Service availability
We make commercially reasonable efforts to keep the Services available, but we do not guarantee uninterrupted access. The Services may be temporarily unavailable for scheduled maintenance, third-party platform outages (TikTok, Meta, YouTube, Snapchat), or events outside our reasonable control.
4. Your accounts and OAuth connections
To deliver the Services, you authorise YBA Edge to connect to your social media accounts via the official OAuth flows of each platform (TikTok, YouTube, Meta, Snapchat). This means:
- You never share passwords with us.
- We receive scoped access tokens that allow only the actions you consent to during the OAuth flow.
- You may revoke our access at any time, directly from the platform's developer settings or account security page.
- You remain the sole owner of every social account connected.
You are responsible for keeping your underlying platform accounts in good standing and for complying with each platform's own Terms of Service and Community Guidelines, including but not limited to:
- TikTok Terms of Service and TikTok Community Guidelines.
- YouTube Terms of Service.
- Meta Terms of Service.
- Snap Inc. Terms of Service.
5. Acceptable use
You agree that you will not, and you will not permit anyone using your accounts or content to:
- Upload or instruct us to publish content that is unlawful, defamatory, harassing, hateful, sexually explicit involving minors, fraudulent, or that infringes any third party's intellectual property, privacy, or publicity rights.
- Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
- Use the Services to engage in artificial engagement, fake followers, paid bot activity, coordinated inauthentic behaviour, or any practice that violates a destination platform's policies.
- Use the Services to distribute malware, run unauthorised data scraping, or attempt to access any account, system, or data not yours.
- Reverse engineer, decompile, or attempt to extract the source code of the Platform except to the extent that applicable law expressly permits and only in respect of the underlying open-source components (which are governed by their own licences).
- Use the Services to compete directly with YBA Edge by reselling our orchestration, clip production, or OAuth-management infrastructure to third parties without a written reseller agreement.
We reserve the right to suspend or terminate Services if your use violates this section or exposes us to platform-level risk.
6. Content ownership and licence
6.1 Your content
You retain full ownership of all content you provide to us — source video, audio, briefs, logos, captions, written material — and all content we produce on your behalf as a deliverable of the Services. We claim no ownership stake in your brand, your content, or your social media accounts.
6.2 Licence to operate
You grant YBA Edge a non-exclusive, royalty-free, worldwide licence to host, store, edit, format, schedule, and publish your content on the social media accounts you have connected to the Platform, solely for the purpose of delivering the Services you have ordered. This licence terminates when your engagement ends.
6.3 Our content
The Agency Site, the Platform branding, and all marketing materials authored by YBA Edge are the property of YBA Edge or its licensors. The underlying Postiz application is open source and is governed by its own licence (AGPL-3.0); the YBA Edge Social rebrand and operational deployment do not change the upstream licence of the underlying code.
7. Fees, billing, and refunds
Pricing for current service tiers is published on the Agency Site (Solo R4,500/month per brand, Portfolio R12,000/month for up to three brands, Enterprise custom). Pricing is in South African Rand (ZAR) unless otherwise agreed in writing.
- Fees are billed monthly in advance unless your engagement letter states otherwise.
- Engagements are month-to-month with no minimum term unless stated otherwise.
- To cancel, give at least seven (7) calendar days' notice in writing before the start of your next billing cycle. We will not pro-rate partial months.
- We do not refund completed work. If we have failed to deliver agreed-upon work, we will issue a credit or pro-rated refund at our discretion.
- We may change Service pricing on 30 days' written notice. "Foundation pricing" promised on the Agency Site is locked at the rate at which a pilot Client onboarded, for as long as that Client's engagement remains continuously active.
8. Off-boarding and data export
When your engagement ends — whether by your cancellation, ours, or non-renewal — you may request a full export of:
- Every clip, caption, and asset we produced for your brands.
- Your scheduling history and per-post performance logs.
- Any brand intake notes and voice profiles we maintained for you.
Exports are delivered within 14 calendar days of the request, in commonly readable formats (MP4, JSON, CSV, PDF). After export delivery (or 60 days post-termination, whichever is later), we may delete your operational data from the Platform. Backups may persist for an additional 30 days before being purged on rolling rotation.
9. Third-party platforms and services
The Services interoperate with third-party platforms — TikTok, YouTube, Meta, Snapchat — and are delivered using third-party infrastructure (cloud hosting, databases, CDN). YBA Edge is not responsible for outages, policy changes, account actions (suspensions, bans, shadow-bans), or data losses caused by those third parties. We will use commercially reasonable efforts to mitigate impact when these events occur.
10. Disclaimers
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, YBA Edge disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any guarantee of audience growth, revenue, monetisation eligibility, virality, or specific platform outcomes. Social media performance depends on factors outside any provider's control.
11. Limitation of liability
To the fullest extent permitted by applicable law, YBA Edge's total aggregate liability arising out of or in connection with the Services or these Terms is limited to the fees paid by you to YBA Edge in the three (3) months immediately preceding the event giving rise to the claim. We will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability for fraud, gross negligence, wilful misconduct, or any liability that cannot lawfully be excluded.
12. Indemnification
You agree to indemnify and hold harmless YBA Edge, its operator, employees, contractors, and affiliates from and against any third-party claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) content you provide or instruct us to publish; (b) your breach of these Terms or any platform's policies; (c) your infringement of any third party's rights; or (d) your violation of any applicable law.
13. Termination
We may suspend or terminate your access to the Services with or without notice if: you materially breach these Terms; your use exposes us to legal, regulatory, or platform-level risk; your account is delinquent for more than 14 days; or we are required to do so by law or by a destination platform.
You may terminate at any time per the cancellation procedure in Section 7. Sections 4 (account ownership), 6 (content licence post-termination), 8 (off-boarding), 10 (disclaimers), 11 (liability), 12 (indemnification), and 14 (governing law) survive termination.
14. Governing law and dispute resolution
These Terms are governed by the laws of the Republic of South Africa, without regard to conflict of laws principles. Any dispute arising from or relating to these Terms or the Services will be brought exclusively in the courts of South Africa with appropriate jurisdiction.
If you are a consumer in a jurisdiction with mandatory consumer-protection law (for example the EU/EEA, the UK, or California), nothing in this section deprives you of statutory rights you cannot waive by contract.
15. Changes to these Terms
We may update these Terms from time to time to reflect changes to the Services, our legal obligations, or third-party platform requirements. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify active Clients by email at least seven (7) days before the changes take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
